1) Introduction
These Terms of Service ('Terms') govern your access to and use of software products, licenses, and services provided by Light Side LLC ('we', 'us', 'Company'), including but not limited to UniText and any other software distributed through our websites (lightside.media, unity.lightside.media), the Unity Asset Store, or any other authorized channel.
Our order process is conducted by our online reseller Paddle.com Market Limited. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
By purchasing a license, downloading, installing, or otherwise using our software, you agree to be bound by these Terms. If you do not agree, do not use our software. For purchases through our website, you also agree to Paddle's Checkout Buyer Terms and Conditions.

2) Definitions
'Software means any software product developed and distributed by {legalEntity}, including source code, compiled binaries, documentation, and associated files.
License means the right to use the Software under the terms specified herein and in the applicable license agreement.
Commercial Use means any use of the Software in connection with a product, service, or activity that generates revenue or is intended to generate revenue.
Non-Commercial Use means personal, educational, research, or other use that does not constitute Commercial Use, as defined by the PolyForm Noncommercial License 1.0.0.
Licensee means the individual or legal entity that has purchased a Commercial License or is using the Software under a Non-Commercial License.
Revenue means all gross income or funds raised by the Licensees legal entity in the last twelve (12) calendar months, from any source, including but not limited to digital or physical product sales, services, contracts, grants, crowdfunding, investment funding, or other activities, whether or not related to the Software. This definition follows industry standards established by Unity Technologies and Sirenix (Odin Inspector).
'Paddle means {paddleName}, acting as our Merchant of Record for payment processing.
Competing Product means a text rendering engine, text shaping library, font rendering library, or any tool whose primary purpose is substantially similar to the Software. End-user products (such as games, applications, or websites) that merely use the Software are explicitly not Competing Products.
License means the right to use the Software under the terms specified herein and in the applicable license agreement.
Commercial Use means any use of the Software in connection with a product, service, or activity that generates revenue or is intended to generate revenue.
Non-Commercial Use means personal, educational, research, or other use that does not constitute Commercial Use, as defined by the PolyForm Noncommercial License 1.0.0.
Licensee means the individual or legal entity that has purchased a Commercial License or is using the Software under a Non-Commercial License.
Revenue means all gross income or funds raised by the Licensees legal entity in the last twelve (12) calendar months, from any source, including but not limited to digital or physical product sales, services, contracts, grants, crowdfunding, investment funding, or other activities, whether or not related to the Software. 3) Commercial License Grant
Upon purchasing a Commercial License, we grant you a perpetual, non-exclusive, non-transferable, worldwide license to use the Software for Commercial Use, subject to these Terms.
Per-Company Model (Direct Sales): One license purchase covers all employees and contractors of the purchasing legal entity. There is no per-seat limitation.
Per-Seat Model (Unity Asset Store): Licenses purchased through the Unity Asset Store are governed by the Unity Asset Store Terms of Service in addition to these Terms. Each seat requires a separate license.
The Commercial License includes the right to:
• Use the Software in any number of projects
• Ship products that incorporate the Software
• Modify the Software source code for internal use and for inclusion in shipped products
• Use the Software on all supported platforms
• Use the Software for the lifetime of the license without recurring fees

4) Non-Commercial Use
The Software source code is publicly available on GitHub under the PolyForm Noncommercial License 1.0.0. You may use, modify, and distribute the Software for non-commercial purposes free of charge, subject to the terms of that license.
Non-commercial use includes personal projects, academic research, educational purposes, hobby projects, and use by charitable organizations. If you are uncertain whether your use qualifies as non-commercial, please refer to the PolyForm NC license text or contact us.
If your use transitions from non-commercial to commercial, you must purchase the appropriate Commercial License before shipping any commercial product that incorporates the Software. Under the PolyForm NC license, you have 32 days from notification to come into compliance.
Non-commercial use includes personal projects, academic research, educational purposes, hobby projects, and use by charitable organizations. If you are uncertain whether your use qualifies as non-commercial, please refer to the PolyForm NC license text or contact us.
If your use transitions from non-commercial to commercial, you must purchase the appropriate Commercial License before shipping any commercial product that incorporates the Software. Under the PolyForm NC license, you have 32 days from notification to come into compliance.

Commercial Licenses may be purchased through:

For invoiced purchases, Paddle's Invoiced Consumer Terms or Paddle's Invoiced Business Terms apply as appropriate.
2. Unity Asset Store — governed by the Unity Asset Store Terms of Service. Payments are processed by Unity Technologies.
All prices are displayed inclusive of applicable taxes unless otherwise stated. Paddle calculates and applies the correct VAT/sales tax based on your location.

6) Pricing & License Tiers
For direct purchases through our website, Commercial License pricing is based on the Revenue (as defined in Section 2) of your legal entity:
• Indie — for entities with Revenue up to $100,000 USD per year
• Studio — for entities with Revenue between $100,000 and $1,000,000 USD per year
• Enterprise — for entities with Revenue exceeding $1,000,000 USD per year
Self-Certification: You are responsible for selecting the tier that accurately reflects your entity's Revenue. By purchasing a license, you certify that your selected tier is correct.
Audit Rights: We reserve the right to request written certification that your use of the Software is in compliance with the applicable license tier. Upon written request, you must certify your entity's Revenue within 30 days. If your Revenue exceeds your current tier threshold, you must upgrade to the appropriate tier.
Unity Asset Store purchases are subject to a single fixed price regardless of company revenue, as determined by Asset Store policies.
Prices are subject to change. Any price change will not affect existing licenses — your license is perpetual at the price you paid.

7) Refund Policy
We offer a 30-day money-back guarantee for Commercial Licenses purchased through our website.
Eligibility:
• You may request a full refund within 30 calendar days of the order completion date, for any reason.
• Refund requests must be sent to unity@lightside.media or through Paddle's buyer support.
Process:
• Refunds are processed through Paddle (our Merchant of Record) and typically appear within 5–10 business days, returned to the original payment method.
• Refund requests received after 60 days from the transaction date cannot be processed due to payment provider limitations.
• Upon refund, your Commercial License is revoked and you must cease all commercial use of the Software.
• You may continue using the Software under the Non-Commercial License (PolyForm NC 1.0.0).
Exclusions:
• Purchases through the Unity Asset Store are subject to Unity's refund policy, not ours.

8) EU/UK Consumer Rights & Digital Content
Right of Withdrawal (EU/UK): Under the EU Consumer Rights Directive (2011/83/EU) and UK Consumer Contracts Regulations, consumers have a 14-day right of withdrawal from the date of purchase, without giving any reason.
Digital Content Exception: For digital content not supplied on a tangible medium (such as software licenses), you may waive this right by expressly consenting to immediate delivery and acknowledging that you lose your right of withdrawal once the digital content has been delivered, activated, or used. This consent is collected during the checkout process.
Statutory Rights: Nothing in these Terms affects your statutory rights as a consumer under applicable law. If the Software is defective or not as described, you retain your rights to a remedy regardless of any waiver of withdrawal.

9) Intellectual Property
The Software, including all source code, documentation, trademarks, and associated intellectual property, remains the exclusive property of Light Side LLC. Your license grants you the right to use the Software, not ownership of it.
You may not remove, alter, or obscure any copyright notices, license headers, or attribution notices in the Software.
Any contributions to the Software (e.g., pull requests, bug reports with patches) may require a Contributor License Agreement (CLA) and, once accepted, become the property of Light Side LLC.

• Use the Software to create a Competing Product (as defined in Section 2: a text rendering engine, text shaping library, font rendering library, or substantially similar tool)
• Reverse engineer, decompile, or implement the Software, in part or in full, in a Competing Product
• Remove or circumvent any license validation or enforcement mechanisms
• Misrepresent your entity's Revenue to obtain a lower-tier license
• Use the Software in any way that violates applicable laws or regulations
• Publicly share, redistribute, or repackage the Software in a manner that allows unlicensed commercial use by third parties
Exclusions from restrictions: The above restrictions do not apply to:
• Games, applications, and other end-user products developed with the Software
• Add-ons, tools, or assets created for the Software (e.g., custom modifiers, extensions)
• Components of the Software governed by third-party open-source licenses
• Sublicense, sell, resell, rent, lease, or distribute the Software or your license to any third party
• Use the Software to create a Competing Product (as defined in Section 2: a text rendering engine, text shaping library, font rendering library, or substantially similar tool)

• Remove or circumvent any license validation or enforcement mechanisms

• The right to use any future version of the Software released during the lifetime of their license
We do not guarantee response times or resolution of specific issues. Enterprise customers may negotiate separate support agreements by contacting us at unity@lightside.media.

• Bug fixes and updates published to the Software's GitHub repository
• The right to use any future version of the Software released during the lifetime of their license

12) Warranty Disclaimer
THE SOFTWARE IS PROVIDED 'AS IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Software will be error-free, uninterrupted, or free of harmful components. You assume all risk associated with the use of the Software.
This disclaimer does not affect any statutory rights you may have as a consumer under applicable law.

13) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Light Side LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

14) Indemnification
You agree to indemnify, defend, and hold harmless Light Side LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software, your violation of these Terms, or your violation of any applicable law.

Your license continues for as long as you comply with these Terms.
Termination by us: We may terminate your license if you materially breach these Terms and fail to cure the breach within 30 days of written notice.
Termination by you: You may stop using the Software at any time. No refund is provided for voluntary cessation outside the refund period.
Effect of termination: Upon termination, you must cease all commercial use of the Software. Sections 2 (Definitions), 9 (IP), 10 (Restrictions), 12 (Warranty), 13 (Liability), 14 (Indemnification), and 16 (Governing Law) survive termination.

Any disputes arising from or relating to these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of Tbilisi, Georgia, or, at the election of either party, to arbitration administered by the Georgian International Arbitration Centre (GIAC) under its rules. Arbitration proceedings may be conducted in English.
For purchases processed by Paddle, payment-related disputes may also be subject to Paddle's dispute resolution procedures.
EU/UK Consumers: If you are a consumer in the EU or UK, you retain the right to bring proceedings in the courts of your country of residence. Nothing in this section limits your rights under applicable consumer protection legislation.
